ADVISO PARTNERS advises MC3 and its shareholders on a capital restructuring transaction

The MC3 Group is a leading distributor of IT hardware in France's overseas territories, particularly its overseas departments (Guadeloupe, Martinique, Reunion Island, French Guiana) and overseas communities (Polynesia, New Caledonia). It also has strong positions in French-speaking Africa, as well as Indian Ocean and English-speaking Caribbean countries.

Under the impetus of its two founding managers, Ronan PERON and Gilles FERRANTI, MC3 has established itself as a key regional leader in these territories over the past 25 years. The only major player to have built up a local presence with a large network of warehouses and sales offices, the group relies on its proximity to customers to provide high-quality services, particularly in terms of product availability, after-sales and maintenance, in dynamic geographical regions where penetration rates continue to grow.

MC3 relies in particular on its privileged longstanding partnerships with the major IT brands, including HP and Microsoft, which enable it to offer a comprehensive range of products to a portfolio of nearly 4,000 customers, traditional resellers, large account resellers and major retailers. In 2019, the group's revenue exceeded €150 million, and business remains very buoyant in 2020.

Against this backdrop of dynamic growth, the group's founders, advised by ADVISO PARTNERS, entered into a sponsorless financing transaction structured by SIPAREX INTERMEZZO, allowing the group's long-standing managers, Luc DETRY, Jacques BONNET and Gilles DEBERT, to significantly increase their stakes. The transaction was supplemented by senior bank financing arranged by LCL and the group's longstanding banks.
