ADVISO PARTNERS advised the executive shareholders of SEAT VENTILATION in an equity and management transfer of the group in the context of a management-buy-in (MBI) transaction carried out by the CICLAD investment fund and the manager Jean-Jacques GAUDIOT.
Seat VENTILATION, founded in 1968 and based in Ariège near Pamiers, is a world leader in the design and manufacture of industrial anti-corrosion plastic fans. Able to withstand acidic or basic environments, these products are mainly used in laboratories, chemical industries, hospitals and schools.
Thanks to a strong presence and a solid international reputation, SEAT generates more than 50% of its revenue through exports to 70 countries, thanks in particular to subsidiaries based in the United States, the Czech Republic and Hungary. In 2017, the group generated around €7 million in revenue, engendering a high level of profitability.
Managed by ADVISO PARTNERS as part of a competitive process, the transaction consisted of the purchase of the minority interests of the US subsidiary followed by the sale of 100% of the group's equity capital to the CICLAD investment fund and the new manager Jean-Jacques GAUDIOT, an experienced company manager.
Confident in the group's growth prospects, the long-standing executive shareholders are reinvesting in the new project while ensuring a period of transition and operational support.
The new tandem will enable the group to take a new step in its development, with the aim of doubling revenue over the next five years, thanks in particular to its continued international expansion and while remaining attentive to possible external growth transactions.
