ADVISO PARTNERS advises the shareholders of IPC on the reorganization of its capital
07/2024

Founded in 1987 in Brest (Finistère), IPC is a specialist in the design and distribution of hygiene, industrial maintenance, and lubrication products. Present in France, Spain, and Belgium, the Group generates nearly €40 million in revenue, employs 250 people, and serves over 21,000 private and public clients across diverse sectors (industry, public administration, accommodation, automotive, and transport).

IPC has succeeded in establishing itself on its market thanks to innovative, high-performance solutions that respect both the environment and end users. Over 55% of IPC’s products are eco-friendly. This CSR approach lies at the heart of the Group’s DNA, which has been awarded the demanding Ecovadis Silver label, and is shared by employees, who helped the company obtain Great Place to Work certification. More than 100 employees will become shareholders through this new transaction.

IPC has set out an ambitious five-year development plan focused on strengthening its positions in industrial maintenance and lubrication, developing new eco-friendly product lines, accelerating growth in Belgium and Spain, and pursuing targeted external growth.

In this context, NCI has acquired a majority stake in IPC through its Reprendre & Développer 5 (RD5) fund, in order to support this new phase of development. UI Investissement, already a shareholder, is reinvesting through its regional fund Cap Grand Ouest 3.

Roland BELLEIL, Chief Executive Officer of IPC
"We are very pleased to have NCI and UI Investissement supporting us in this new development phase. Their local presence, commitment to continuity, and the support from their Performance Unit and Operating Partners will provide strong backing to help grow IPC and its teams while preserving our identity."

Hervé DOHOLLOU, Chairman of IPC
"Having more than 100 employees become shareholders at IPC is a real achievement. It’s a mark of trust that inspires us daily and drives us to carry out our mission in accordance with our core values."

Vincent LHERMENIER, Managing Director at NCI
"In recent years, Roland BELLEIL and Hervé DOHOLLOU have successfully focused on a high-end positioning, differentiating IPC with innovative and high-performance products. We are confident in IPC’s development potential within its historical sectors and will stand by management to pursue this journey. Additionally, IPC’s proactive ESG policy aligns with NCI’s commitment to sustainable investments."

Côme DE LAMBERTERIE, Managing Director at UI INVESTISSEMENT
"IPC is a historic and recognized player in its market thanks to its ability to innovate, its broad proprietary product range (including biotech-based solutions), and its customer proximity."

Nicolas MANCEAU, Partner at ADVISO PARTNERS
"We are very proud to have supported IPC’s shareholders in this ownership restructuring, which attracted interest from numerous financial investors. The Group is also broadening its shareholder base with over 100 employee-shareholders. This transaction will allow IPC to pursue its growth in France and internationally, underpinned by its strong ESG commitment."
